Terms of Service

1. The parties and purpose of these Terms

These Terms of Service govern the business customer’s access to and use of MenuAI and form part of the agreement between the customer and World Travel Club s.r.o., company identification number (IČO) 07214073, with its registered office at Ostrčilovo náměstí 462/4, Nusle, 128 00 Praha 2, Czech Republic (the Company, MenuAI, we, us or our). Our contact for contractual matters is team@menuai.pro.

The customer (you or your) is the company, individual entrepreneur or other person acquiring the subscription for its business or professional activities. A person accepting these Terms on behalf of that customer must have authority to bind it. References to your users include the staff and other persons whom you authorise to use your business account.

MenuAI subscriptions are offered for business use, not for acquisition by consumers for private purposes. This statement does not remove mandatory protection where a person legally qualifies for it, and it does not convert a guest’s purchase from a venue into a business-to-business transaction.

The agreement concerns access to the platform and the services ordered from the Company. A guest’s purchase of food, goods or venue services is a separate relationship with the relevant seller, as explained below. Merely viewing a public webpage does not by itself order a paid subscription.

2. Definitions

In these Terms, the following expressions have the meanings set out below. A label in the interface does not change the legal nature of a transaction.

  • Platform means the MenuAI services, business account interfaces, guest-facing functions and related resources that the Company makes available within the agreed scope.
  • Venue means the restaurant, café, hotel or other business offering its own goods or services to guests. Its owner or operator is responsible for the commercial activity and may be the customer or a business for which the customer has authority to act.
  • Guest means an individual interacting with a venue, including by viewing a menu, placing an order, making a reservation, using a loyalty programme or purchasing the venue’s services.
  • Order means a subscription order, accepted offer or separately agreed document identifying the services, applicable plan, billing period, price and any particular commercial conditions.
  • Subscription means the right to access the agreed platform functions for the applicable period, subject to these Terms, payment and the relevant plan limits.
  • Customer Content means information and materials that you or your authorised users submit or manage through the platform, including menu information, prices, images and business communications. Personal data remains subject to applicable data protection law irrespective of any content rights.
  • Prepaid balance means money credited to your platform billing account for future charges. A top-up is distinct from the charge for a particular subscription or service. Account credit, a credit note and a cash refund are different concepts.
  • Partner means a participant in the MenuAI referral programme. Participation and remuneration are governed by the separately accepted partner conditions, not merely by ownership of a platform account.

3. Formation of the agreement and document priority

The agreement is formed when an authorised person accepts these Terms through the applicable registration or ordering process, accepts an offer in an agreed electronic or written form, or otherwise validly concludes the agreement under applicable law. The applicable terms and material order conditions must be made available before the customer becomes bound. We do not treat every casual visit or guest interaction as acceptance of a paid business subscription.

Before confirming an order, you are responsible for checking the business identity, selected plan, billing period, currency, price, tax treatment and any renewal authority displayed or agreed for that order. A confirmation or other durable record identifies the agreed transaction. Contact us promptly if you believe that a confirmation does not reflect your order.

A separately negotiated and accepted order governs any express departure from these Terms for that order. A data processing agreement governs its specific data protection subject matter without reducing mandatory statutory rights. Other policies form contractual obligations only where they are properly incorporated into the agreement and made available for acceptance as required by law.

Descriptions of planned functions, examples, demonstrations and general marketing statements do not by themselves amend an accepted order or create a bespoke service-level commitment. This provision does not excuse misleading information or remove obligations that applicable law attaches to information provided before a contract.

4. Registration, authority and account information

Provide accurate business, contact and billing information and keep it reasonably up to date. You must have authority to create an account for the relevant business, manage the venues concerned and supply information about them. Do not represent another business or person without authorisation.

An accessible email address and appropriate account verification information are needed for administration, communications and recovery. We may request reasonable evidence of business identity, authority or information necessary to meet a legal obligation or investigate a credible security or payment concern. Requests must remain proportionate to their purpose.

You are responsible for assigning appropriate access to your users, reviewing it when responsibilities change and removing access when it is no longer authorised. Using a partner, agency or integrator does not transfer ownership of your account or authorise that person to make commitments outside the permission you give them.

You must not transfer or sell access to an account in a manner inconsistent with the agreement. A legitimate change of business ownership or authorised account administrator should be notified to us so that authority, billing and data responsibilities can be addressed.

5. Account security and authorised use

Protect your credentials and verification channels, use available security controls appropriately and do not knowingly allow unauthorised persons to access the account. Notify team@menuai.pro without undue delay if you suspect compromise, misuse or an unauthorised change affecting the service.

You are responsible for use by persons acting with your authority and for failures within your reasonable control, subject to applicable law. An entry made through an account is not conclusive proof that you authorised a disputed action, and this clause does not exclude the Company’s responsibility for its own breach or security failure.

We may take proportionate protective measures where reasonably necessary to address a security concern, including requesting verification or temporarily restricting affected access. We will seek to limit disruption and explain the measure where lawful and appropriate. The suspension provisions below govern material service restrictions.

Your cooperation in protecting the account does not replace our own security and data protection obligations. No clause in these Terms is a guarantee that unauthorised access or every service error is impossible.

6. Services, plans and permitted access

MenuAI provides the platform functions included in the plan or order you select, which may cover digital menus, guest interactions, orders, reservations, loyalty, business administration and related tools. Availability depends on the agreed scope, configuration, location and any necessary external arrangements. A feature mentioned on a website is not necessarily included in every plan.

During the subscription, the Company grants you a limited, non-exclusive, non-transferable right to access and use the ordered services for your authorised business purposes, subject to the agreement and applicable limits. No ownership of the platform is transferred. This is not a source-code licence, a right to copy or alter the platform, or permission to use access, protected materials or confidential information to build or support a clone or competing service. Rights reserved by mandatory law remain unaffected.

You are responsible for the equipment, connectivity, business information and external accounts required on your side, except where we expressly agree to supply them. You must check that your intended use and any selected configuration meet your operational and legal needs.

We may maintain and improve the service and change its presentation. A material reduction of the contracted core service during a paid period must be addressed through the agreement and applicable law, including appropriate notice and any applicable remedy; general permission to update the platform is not permission to remove all value from an existing paid commitment.

7. The venue is the seller to its guests

The venue or its owner is the seller of food, goods and venue services offered to guests. The venue determines its offers, prices, availability, fulfilment, booking conditions and lawful sales terms. It must identify itself to guests and provide the information, confirmations, receipts and remedies required for its activity.

Guest payments pass through the venue’s payment arrangements to the owner’s accounts. MenuAI does not receive the proceeds of those sales and does not earn a commission from selling the venue’s food or services. The Company receives payment for its own platform subscriptions. These are distinct payment flows and contractual relationships.

The venue is responsible for preparing or supplying what it sells, food safety, allergen and product information, required licences, age restrictions, delivery and the handling of guest cancellations, complaints and refunds. A guest should contact the seller about that purchase. Our subscription refund rules do not determine the guest’s rights against the venue.

Providing the platform does not make the Company the seller of a venue’s goods, its agent for accepting sales revenue or the operator of the venue’s business. This allocation does not excuse a breach of the Company’s own platform obligations, its own data processing or liability that cannot lawfully be excluded.

8. Customer Content and business information

You retain your rights in Customer Content, subject to the rights of other lawful owners. You must have the rights and permissions needed to provide, use and display it through the service. This includes rights in photographs, logos, menu descriptions and other material supplied by your staff or contractors.

You grant the Company a non-exclusive right to process, reproduce, format, transmit and display Customer Content only to the extent necessary to provide the contracted service, follow lawful instructions, maintain security and meet applicable legal obligations. This does not grant a general licence to sell your content or use your brand in unrelated advertising.

Maintain accurate and current menu details, prices, taxes, availability, descriptions and other business information. Review the guest-facing result before relying on it for sales and correct errors promptly. A tool’s suggestion does not establish the legal accuracy of a food, health, allergen or commercial claim.

If you submit personal data, you must also have the appropriate lawful grounds and provide the required information. A content licence is not consent from the individuals concerned and does not override the data processing agreement or the Privacy Policy.

9. Subscription periods, trials and renewal

Your order or account identifies the subscription period and the services covered. Monthly and annual subscriptions are different commitments. A monthly equivalent displayed for an annual plan is a price comparison and does not mean that the annual subscription is payable or cancellable as separate monthly purchases unless expressly agreed.

Any trial, promotional access or discount is subject to the duration, eligibility and scope stated with that offer. A promotion does not create a permanent entitlement or a right to repeatedly obtain trial benefits through multiple accounts. Paid charges require the applicable order and payment authority; a general trial description is not unlimited authorisation to charge an account.

Where recurring renewal has been agreed, the subscription renews for the applicable period at the price and on the basis properly communicated for that renewal, unless renewal is cancelled in time. Any authority to charge a saved payment method or replenish a balance must follow the authorisation actually given. Merely storing a payment method is not authority for arbitrary charges.

You may cancel the next renewal at any time using an available account control or by writing to team@menuai.pro with sufficient information to identify the subscription. The notice must reach us before the relevant renewal is processed to prevent that renewal. We will acknowledge or confirm the resulting status.

Cancellation of renewal normally leaves access in place until the end of the paid period. Immediate account closure, a customer’s request to delete information, suspension and termination for breach are different situations governed by the relevant provisions below. Stopping use of the service or removing a browser application does not by itself cancel a subscription.

10. Prices, currency and changes to charges

The price, currency, billing period and applicable tax treatment must be stated in the relevant offer, order or payment confirmation. Pricing may differ by plan, period and currency. A displayed comparison or estimate does not authorise a different amount from the charge properly accepted for the transaction.

Platform subscriptions are accounted for in the applicable supported currency, including EUR or CZK where offered. Do not assume that balances or payments in different currencies can be exchanged or combined through the platform. Any charges by your bank or payment service depend on your separate relationship with that provider and must not be confused with a fee imposed by the Company.

Changes to subscription prices are not applied retrospectively to a completed charge or used to increase the price of an already paid service period without a valid separate basis. We will communicate a proposed future renewal price change sufficiently in advance to allow you a reasonable opportunity to decide whether to continue or cancel the next renewal.

Optional services, additions or higher limits must be ordered or authorised as applicable. These Terms do not create a right to impose undisclosed fees merely because a feature is technically available. An individual negotiated price or commitment remains subject to its express conditions.

11. Payment, prepaid balances and payment authority

Where a prepaid billing account is used, a top-up is credited towards future authorised platform charges. A later charge applies the balance to the subscription or service concerned. A top-up is not a guest’s payment to the venue, and the platform balance must not be used as an unrelated money-transfer or currency-exchange service.

Use only a payment method you are authorised to use and provide accurate payment and billing information. Transaction limits, available methods and any required checks are communicated in the relevant payment process or agreed with us. We may refuse or pause a transaction where required by law or reasonably justified by a specific fraud or authorisation concern.

If you authorise recurring charges or automatic replenishment, the authority applies within the amount, purpose and conditions accepted for that arrangement. You may withdraw the relevant authority for future transactions through an available control or by contacting us, without extinguishing charges already validly incurred or cancelling a separate subscription unless you also cancel it.

A failed or reversed payment may leave an amount outstanding even where a bank initially displayed a payment as pending. We will reconcile the actual result and address proven errors. You may raise a genuine payment dispute and retain any rights your payment agreement or mandatory law provides; these Terms do not require you to waive a lawful dispute mechanism.

Prepaid money, promotional credit and commission entitlements have different legal and commercial conditions. A promotional credit is not automatically redeemable for cash. Any treatment of an unused paid balance is considered separately under the refund and termination provisions rather than treated as though every top-up had already been consumed.

12. Taxes and billing documents

Applicable taxes are determined under the law relevant to the particular transaction, customer status and place of supply. You must provide accurate business identity, country and tax information, including a valid VAT identification number where needed, and promptly notify us of changes.

Any reverse-charge or other treatment depends on its legal conditions, not simply on a customer selecting a country or entering a number. The applicable amount and tax information are communicated through the relevant billing process and documents. These Terms do not guarantee a universal zero rate for customers outside a particular country.

We issue or make available the billing documents appropriate to the transaction and applicable requirements. A pro forma document, invoice, credit note and payment confirmation serve different functions. A credit note records an adjustment; by itself it is not proof that money has been returned to a bank account or payment method.

The legal time at which tax becomes chargeable is governed by applicable tax law. Internal account labels or the timing of a platform balance entry do not override that law. You remain responsible for the taxes, receipts and records relating to your own sales to guests.

13. Upgrades, downgrades and period changes

Available changes of plan, billing period or scope are subject to the conditions shown for the proposed change. Before you confirm, review when the change will take effect, any new charge, any credit for the unused period and what happens to functions or limits affected by the change.

A downgrade or period change may be scheduled for the end of the existing period instead of taking effect immediately. An immediate change may require a stated adjustment or use of existing credit. Do not assume that every change generates the same calculation or a cash refund.

Where an adjustment or account credit is expressly included in the accepted change, the general rule against discretionary refunds for the current period does not cancel that adjustment. A credit used towards future services is distinct from payment back to your payment method. Errors in a calculation may be reported for correction.

A change must not silently expand payment authority or remove a negotiated commitment contrary to its terms. We will identify the resulting subscription status through the relevant confirmation or account information.

14. Insufficient funds, overdue amounts and restrictions

You must pay charges validly incurred under the agreement. If the available balance or authorised payment method is insufficient, a charge may fail or an outstanding amount may arise. Temporary continued access does not mean that the charge has been waived.

Any grace period or temporary access is limited to the conditions actually offered; it is not an entitlement to indefinite credit or continued use without payment. We may request settlement and, where justified under the agreement, restrict affected services or prevent renewal. We will give appropriate notice and an opportunity to resolve a remediable issue where circumstances and law permit.

A disputed amount should be identified promptly with the reason for the dispute. A good-faith dispute does not excuse unrelated undisputed charges, and an account balance entry does not prevent you from challenging an error. We will consider the substance of the matter rather than treating every enquiry as an abuse.

These Terms do not create an undisclosed penalty, interest rate or automatic right to seize partner earnings. Any deduction, set-off or treatment of commissions must have a valid contractual or statutory basis and follow the applicable separate conditions.

15. Cancellation and refunds

Cancellation of the next renewal normally takes effect at the end of the paid subscription period, with access continuing until that date. The used or current period is generally not refundable merely because you stop using the service, decide that you no longer need it or cancel the next renewal.

That general rule does not exclude a refund required by mandatory law, correction of an erroneous or duplicate charge, an express refund or credit agreed for a particular case, or an adjustment included in an accepted plan change. It does not remove remedies for the Company’s breach or a settlement that the law requires when the Company ends or fails to provide a contracted service.

An unused paid advance balance is assessed separately from a fee already applied to a subscription period. Contact team@menuai.pro to request reconciliation or repayment, identifying the account and transaction. We will determine the amount, if any, repayable after accounting for valid charges, earlier refunds, restrictions imposed by law and the applicable agreement. These Terms do not make every unused paid balance automatically forfeited.

An approved cash refund is processed using an appropriate lawful payment route, normally the original payment arrangement where available. We may need reasonable verification to prevent a refund to an unauthorised recipient. Processing times may also depend on the payment service; no unverified fixed bank-processing deadline is promised.

Where a billing correction requires a credit note or similar document, it is issued in accordance with the transaction and applicable rules. The existence of that document does not alone settle whether repayment is due or completed. Refunds for a guest’s purchase from a venue remain the seller’s responsibility, not a refund of the MenuAI subscription.

16. Lawful and acceptable use

Use the service only for lawful activities within the agreed business scope. You must comply with laws applicable to your activity, including data protection, consumer information, advertising, intellectual property and any applicable sanctions or export requirements. A platform feature does not itself establish that your intended activity is lawful.

  • Do not access another customer’s information or account without authority, impersonate another person or misuse credentials, verification mechanisms or account recovery.
  • Do not introduce malicious code, interfere with service availability, defeat access or usage controls, or perform intrusive security or load testing without the Company’s authorisation, except to the extent that mandatory law permits a particular activity.
  • Do not use the service for fraud, unlawful communications, unsolicited spam, infringement of others’ rights or the publication of unlawfully obtained information.
  • Do not submit unlawful content, exploitation or abuse material, threats or discriminatory harassment. You remain responsible for ensuring that content and offers are lawful for the audiences and markets where you present them.
  • Do not create accounts or transactions to evade a suspension, obtain promotional benefits repeatedly, fabricate referrals or manipulate payments, rewards or programme eligibility.
  • Do not reverse engineer, decompile, disassemble, reverse compile or otherwise attempt to obtain or reconstruct platform code, non-public interfaces or confidential operating information. Do not modify, patch, inject into, translate, adapt, copy or create derivative works from protected platform code or materials outside an express right. Mandatory statutory exceptions apply only within their actual legal conditions.
  • Do not download, save, scrape, mirror, archive, distribute or republish protected platform materials outside the authorised use, an applicable licence or mandatory law. Ordinary browser loading, execution and temporary caching needed for permitted use are distinct from collecting reusable copies or a replica; technical visibility is not a broader licence.
  • Do not use access to MenuAI, demonstrations, protected materials or confidential information to recreate the platform, build or support a clone or competing product or service, or assist another person in doing so. This includes systematic collection of service inputs and responses for that prohibited purpose, rather than ordinary use of your own business records.
  • Do not conduct unauthorised probing, scanning, enumeration, penetration or load testing, intercept communications, exploit weaknesses, bypass controls or use deception or social engineering to obtain data or confidential materials. Specific prior written authorisation is required unless mandatory law permits the particular act; describing it as research or an audit is not permission.
  • Do not commission, assist, facilitate or conceal a prohibited activity through a contractor, another account or tool. Do not remove proprietary notices or sell, sublicense, distribute or otherwise commercially exploit platform access or protected materials without an express right. Attempts are prohibited even where no information is obtained or damage completed.

Restrictions must be applied consistently with mandatory rights and the actual scope of the agreement. Reporting a genuine defect, asserting a lawful claim or exercising a data protection right is not by itself prohibited use.

17. Recommendations and pricing assistance

The service may provide suggestions, recommendations, summaries or pricing assistance within the functions ordered. These outputs are aids to your decisions and can be incomplete, unsuitable for a particular context or incorrect. They are not a guarantee of increased revenue, profitability, compliance or any particular business result.

Review relevant outputs before publishing or applying them. You remain responsible for final commercial choices, prices, permitted limits, accuracy of menu information and compliance with obligations to guests. Where settings allow a price range or other safeguards, choose and maintain settings appropriate to your business rather than assuming that a default is suitable for every situation.

Do not rely on a recommendation as a substitute for verified allergen information, food safety procedures or qualified advice where such advice is required. A personalised suggestion does not establish that a product is medically appropriate for an individual guest.

These responsibilities do not remove the Company’s duty to provide the contracted function with the care required by the agreement and law. The agreement does not require disclosure of confidential implementation methods, and no public description of a business benefit grants rights in those methods.

18. External services and integrations

A feature may depend on a venue’s payment service, external business system or another service you authorise. You must have the necessary accounts, permissions and compatible arrangements and comply with the terms of the external service relevant to your use.

You are responsible for authorising the appropriate information exchange and checking the business result of a connection. We do not obtain unrestricted rights over an external account merely because you request an integration. Personal data exchange remains subject to the applicable roles and lawful instructions.

External providers may change or interrupt their own services. We will address the effect on the contracted MenuAI service as required by the agreement and law, but do not control an independent provider’s entire offering. A general reference to an external dependency does not excuse the Company’s own breach or remove a remedy that cannot lawfully be excluded.

A website reference to an integration does not mean that every account, provider version or possible configuration is included without further conditions. Any additional implementation scope or fee must be communicated and agreed as applicable.

19. Personal data and privacy

The Privacy Policy explains the Company’s processing of personal data and the rights of individuals. Where we process personal data on behalf of your business, the applicable data processing agreement and lawful instructions govern that processing. Contract acceptance is not a universal consent to marketing, optional tracking or unrelated use of guest data.

You must establish the lawful grounds for the personal data you control, provide required information to guests and staff, and give lawful instructions. Special categories of data, including information that reveals a guest’s health or beliefs, require the additional conditions prescribed by law; contractual necessity alone is not sufficient for that special-category condition.

The customer’s and Company’s roles depend on actual purposes. The venue’s control of order information does not remove the Company’s separate responsibilities for its own account, billing or security activities. Nor do the Company’s own responsibilities give it a general right to reuse the venue’s guest records for unrelated purposes.

Nothing in these Terms excludes mandatory data protection rights, a person’s right to complain or seek judicial protection, or the responsibilities that applicable law assigns to a controller or processor. Contact team@menuai.pro for matters concerning the Company’s processing or contractual data arrangements.

20. Confidential information

A party receiving non-public business, commercial or technical information from the other in connection with the agreement must use it only for the legitimate purposes of the relationship and protect it with care appropriate to its nature. Access should be limited to persons who need it for that purpose and are subject to suitable confidentiality duties.

Confidential information does not include information the recipient can demonstrate was lawfully public, already lawfully known without restriction, lawfully received from another source without a duty of confidence, or independently developed without use of the disclosing party’s confidential information.

A legally required disclosure may be made to the extent required. Where lawful and practicable, the recipient should give notice and cooperate with reasonable protective measures. Confidentiality is not a basis to conceal an unlawful act or refuse information that a person or authority is entitled to receive under mandatory law.

These duties continue for as long as the information remains protected by its confidential nature or applicable law. They do not require publication of proprietary platform details in public terms, promotional materials or ordinary support correspondence. Personal data is also governed by the applicable data protection obligations.

You must not acquire, use or disclose the Company’s confidential information through unauthorised access, deception, inducement of a confidentiality breach, technical or commercial espionage or other dishonest means, or assist another person in doing so. A trial, demonstration or account does not grant investigative access. Lawful mandatory disclosure and the exceptions above remain confined to their actual scope.

21. Intellectual property and permitted feedback

The Company and its licensors retain the rights in the platform, its protected content, design, branding and other intellectual property, except for Customer Content and rights expressly granted to you. No right is implied merely because a resource can be accessed through a browser or an account.

Your use of the MenuAI name or branding must remain within any permission granted and must not mislead others about sponsorship, ownership or authority to act for the Company. We likewise do not acquire a general right to use your logo or publish a customer endorsement merely because you hold a subscription.

You may provide voluntary suggestions or feedback. We may consider and use the substance of that feedback to improve the service without an obligation to implement it or pay compensation, provided this does not authorise misuse of your confidential information, Customer Content or personal data.

If you believe material supplied through the service infringes your rights, contact team@menuai.pro with sufficient information to identify the material and explain the claim and your authority. We may request further reasonable information and take measures required or permitted by law without treating an unsubstantiated notice as conclusive proof.

The restrictions on code, copying, interference and competitive use apply directly under these Terms. An applicable Acceptable Use Policy may elaborate them when properly incorporated; the absence of a separately incorporated policy is not permission to disregard the restrictions stated here. Public delivery of a file does not transfer its intellectual property, and information is not claimed to be secret merely because copyright applies to it.

A non-excludable right to make a necessary copy, observe or test lawful use or obtain information indispensable for interoperability remains subject to its legal conditions. Where necessary interoperability information is unavailable, first request it from team@menuai.pro before relying on an exception requiring its unavailability. Such an exception does not authorise an infringing replica or unrelated disclosure. Applicable third-party licences, your own content and lawful retrieval of your records remain distinct.

Unauthorised intrusion, code extraction, copying, misuse of confidential information or prohibited replication may be a material breach and justify immediate protective restrictions where the risk and law permit. The Company may seek cessation, appropriate interim or final court orders, lawful return or destruction of unauthorised copies, compensation for proven recoverable loss and costs, and appropriate cooperation with competent authorities. Applicable notice, evidence-preservation and mandatory legal requirements remain; no automatic contractual fine or conclusive presumption of liability is created.

22. Support, maintenance and availability

You may contact support at team@menuai.pro. Include the affected account or venue, the nature of the issue and information reasonably needed to investigate, but do not send passwords, card security codes or unnecessary sensitive information.

Unless a separate accepted agreement expressly provides otherwise, these Terms do not promise round-the-clock support, a fixed response time, a numerical availability percentage or service credits for every interruption. We will address service issues with the care required by the agreement and applicable law.

Maintenance, security measures and updates may temporarily affect access. We will seek to minimise avoidable disruption and provide reasonable advance information about planned material interruptions where practicable. An urgent protective action may need to occur without advance notice.

A temporary interruption does not automatically establish either a right to a full refund or a complete exemption from responsibility. The cause, duration, contractual commitments, steps taken and applicable mandatory remedies must be considered. Do not use the platform as the sole means of responding to an emergency requiring an immediate safety response.

23. Suspension and protective measures

We may restrict affected access where reasonably necessary to address a material breach, a genuine security threat, fraud, an unlawful activity, an unpaid valid charge or a binding legal requirement. Measures should be proportionate to the issue and should not extend beyond what is reasonably needed.

Where an issue can be remedied and circumstances permit, we will give notice describing the issue and a reasonable opportunity to address it. Immediate action may be justified where delay would create material harm, compromise security or breach a legal duty. We may withhold particular details only where disclosure would itself create a legitimate risk or be unlawful.

You may contact us to dispute a restriction, provide information or explain corrective steps. We will review the information and restore affected access when the relevant grounds have been resolved and restoration is lawful. A protective measure is not conclusive proof of wrongdoing.

Suspension does not automatically cancel a subscription, extinguish valid outstanding charges, transfer ownership of your content or entitle the Company to retain every unused amount. Payment reconciliation, data obligations and any applicable remedy remain governed by the relevant provisions and law.

24. Termination and consequences

The agreement continues for the applicable service relationship until it ends in accordance with the order, these Terms or law. You may cancel future renewal as described above or request closure of the account. A request for immediate closure should be distinguished from cancellation at the end of a paid period so that the access and financial consequences can be explained.

Either party may terminate for a material breach in accordance with applicable law and the agreement, including any required notice and opportunity to remedy it. We may terminate where continued provision is unlawful or a serious breach justifies termination. A decision to discontinue a contracted service must address existing paid commitments and applicable remedies rather than silently erase them.

On termination, the right to use the affected service ends. Valid outstanding charges remain payable, while any refund, credit or unused balance must be reconciled under the applicable provisions. The general current-period non-refund rule does not remove a remedy owed because of the Company’s breach or a mandatory settlement requirement.

Provisions that by their nature remain necessary continue to apply, including accrued payment rights, confidentiality, intellectual property, lawful data retention, liability and dispute resolution. Termination does not authorise indefinite use of personal data for new purposes.

25. Customer information when access ends

Before access ends, review the information your business needs to retain and use the export or retrieval options actually available for the relevant service. If assistance is needed, contact us in sufficient time to discuss the applicable scope and lawful instructions. These Terms do not promise a particular export tool or a universal recovery period that has not been agreed.

Where we process personal data for you, return and deletion follow the applicable data processing agreement and law. Any legal obligation to retain particular records must be distinguished from continued access to an active account. A request to close an account is not proof that every related record has already been erased.

Any separately chargeable assistance must be communicated and accepted before a discretionary charge is incurred and must not override a free statutory right or a duty already included in the agreement. We are not required to disclose proprietary platform materials as part of a return of Customer Content.

You remain responsible for retaining the business records that the law requires you to keep, without using that responsibility as a reason to disregard a guest’s or employee’s data protection rights. The Company remains responsible for its own lawful retention and security duties.

26. Responsibility, service limitations and third-party claims

Each party is responsible for its own obligations and for harm attributable to it under the agreement and applicable law. The venue remains responsible for its sales and business decisions; the Company remains responsible for the platform obligations it has undertaken. A limitation concerning business results is not a statement that the Company owes no performance at all.

Except for express commitments and mandatory requirements, the service is provided according to the agreed scope and its available functions, without a guarantee that it will meet every unstated purpose, be error-free or produce a particular financial result. You should assess suitability for the use you intend and communicate any essential requirement before ordering.

If a third-party claim arises from your unlawful content, lack of required rights or unlawful instructions, your responsibility is determined by your conduct and applicable law. Notify us of a claim affecting the service, cooperate reasonably and do not make commitments on our behalf without authority. This provision does not shift responsibility for the Company’s own fault to you or automatically validate an allegation.

Where a party seeks compensation, it must establish the applicable grounds, loss and connection to the breach, subject to statutory rules. Reasonable steps should be taken to avoid or reduce loss. No clause requires compensation twice for the same harm or removes a defence that mandatory law preserves.

27. Limitation of the Company’s liability

Subject to the exceptions in this section and to the maximum extent permitted by applicable law, the Company’s total aggregate liability arising from or in connection with the agreement is limited to the subscription fees actually paid to the Company by the customer during the twelve months immediately preceding the event giving rise to the claim. Related claims arising from the same event are considered together for this limit rather than creating a separate limit for each legal label.

For this calculation, an unused advance balance is not treated as a subscription fee already paid for the service. Money from a venue’s guest sales is not included, because the Company does not receive those proceeds. The limit does not reduce an amount that the Company is already obliged to return, including correction of an erroneous charge or another refund or balance repayment that is due.

To the extent permitted by law, the Company is not liable for indirect or consequential loss, lost profit or lost business opportunity merely because a customer expected a particular commercial result. These exclusions must not be used to avoid liability that cannot lawfully be excluded or an express obligation already undertaken.

No limitation or exclusion applies where prohibited by law, including intentional misconduct or gross negligence, harm to a person’s natural rights, life or health, the mandatory protection of a weaker party, and other non-excludable liability. Mandatory data protection rights, statutory compensation rights and legally required remedies are preserved to the extent that the law does not permit their restriction.

The scope and enforceability of a limitation are determined under the applicable mandatory rules, not solely by describing the relationship as B2B. If a particular limitation cannot lawfully apply, it does not operate to that extent; the remaining lawful provisions are assessed in accordance with law.

28. Events beyond reasonable control

A party affected by an event genuinely beyond its reasonable control must notify the other where practicable, take reasonable steps to limit the effect and resume performance when possible. Any relief from an obligation applies only to the extent that the event and applicable law justify it.

A reference to an external service, a technical incident or a general economic difficulty does not automatically establish an exemption. The actual cause, ability to prevent or overcome it and connection to the affected obligation matter. An event must not be used to excuse an unrelated failure that was within the party’s control.

This section does not automatically cancel valid charges for services already supplied or remove a repayment or termination remedy that mandatory law requires where performance cannot continue. A prolonged interruption must be addressed through the agreement and applicable law.

29. Changes to these Terms

We may propose changes to these Terms where reasonably necessary to reflect a change in law, the service or its legitimate commercial conditions. The updated text, the material change and its proposed effective date must be communicated through an appropriate channel with the notice required by the agreement and law.

A material change to an ongoing relationship must allow the customer the rejection or termination opportunity required by law and a reasonable opportunity to make an informed choice before it takes effect. Changes are not applied retrospectively to remove an accrued right, alter a completed payment or eliminate a mandatory remedy.

Where express acceptance is required, publication or silence does not replace it. Continued use has only the contractual effect that applicable law and a valid change procedure permit. A separately negotiated commitment cannot be overridden merely by editing a public webpage.

30. Notices and contractual communications

Contractual questions, cancellation requests, payment disputes and notices to the Company may be sent to team@menuai.pro or to World Travel Club s.r.o., IČO 07214073, Ostrčilovo náměstí 462/4, Nusle, 128 00 Praha 2, Czech Republic. Identify the account and subject sufficiently for the notice to be handled, without sending credentials or unnecessary sensitive data.

We may communicate through the contact address associated with the account, an appropriate in-account notice or another agreed durable channel, according to the nature and legal requirements of the communication. Keep your contact details current and retain important order and payment records.

A message must not be deemed received or a contractual deadline shortened in a way contrary to mandatory law. If a request is time-sensitive, use a channel appropriate to that request and seek confirmation where reasonably needed. This does not allow the Company to defeat a valid cancellation simply by failing to acknowledge it.

31. Governing law and dispute resolution

The agreement is governed by the law of the Czech Republic, subject to applicable conflict-of-law rules and provisions that cannot be excluded by agreement. A choice of law does not remove mandatory protection that remains applicable to a particular party or claim.

The parties agree that the competent courts in Prague, Czech Republic, have jurisdiction over disputes arising from the agreement, to the extent that such a jurisdiction agreement is valid and permitted by applicable law. Mandatory or exclusive jurisdiction rules and protected statutory routes remain unaffected.

Before proceedings, the parties may try to resolve a dispute through a written explanation and reasonable discussion. This is not a compulsory obstacle to urgent relief, a statutory complaint, a limitation deadline or access to a competent court. These Terms do not impose a separate private arbitration scheme.

32. General provisions and language versions

A party’s decision not to enforce a right immediately is not by itself a waiver. A waiver must be established in the manner required by applicable law and applies only within its actual scope. If a provision is invalid or unenforceable, the effect on the rest of the agreement is determined by law; an invalid exclusion is not automatically replaced by a broader one.

You may not assign the agreement or transfer account rights outside the permission granted without our consent where consent is legally required. Any transfer by the Company must comply with law, respect the customer’s applicable rights and be notified where required; it must not be used to evade existing obligations.

The agreement and properly incorporated documents govern their subject matter, without excluding liability for unlawful pre-contractual conduct or mandatory representations. An amendment or particular waiver must follow the applicable agreement procedure and law. A person is not authorised to bind another party merely because they use the platform or participate in a referral programme.

The English and Ukrainian versions are intended to express the same contractual rights and obligations. No language has been given an agreed overriding priority by these Terms. If a discrepancy is identified, contact team@menuai.pro so it can be resolved under the applicable interpretation rules without restricting mandatory rights.

For all matters under these Terms, the Company remains World Travel Club s.r.o., IČO 07214073, Ostrčilovo náměstí 462/4, Nusle, 128 00 Praha 2, Czech Republic; email: team@menuai.pro.
